About the Role

Join the commercial legal team at a legal services company serving startups. You will independently manage a high volume of commercial matters and help founders and in-house teams close deals with practical, business-focused advice.

What You'll Do

  • Negotiate SaaS agreements, master services agreements, NDAs, data processing agreements, vendor contracts, and partnership deals.

  • Draft new agreements and templates across a range of businesses and contract types.

  • Advise founders and in-house teams through messaging and calls, focusing on actionable guidance that helps move deals forward.

  • Turn negotiation positions and review standards into practical playbooks and AI-supported legal workflows.

  • Help onboard and support an additional commercial counsel as the team grows.

What We're Looking For

  • At least 3 years of commercial legal experience in private practice or hands-on in-house work; exceptional candidates with 2 years may be considered.

  • A JD and active US bar membership in good standing, with California preferred and New York also considered.

  • Experience independently negotiating and drafting a broad range of commercial agreements, including SaaS and technology deals.

  • Strong knowledge of market terms covering liability, indemnity, intellectual property, data, and termination, with the judgment to explain tradeoffs in plain language.

  • A practical, deal-oriented approach, including comfort handling pushback and resolving material issues without over-escalating.

  • Recent experience as a hands-on individual contributor, delivering timely redlines and collaborating directly with clients.

  • Familiarity with AI tools in legal practice, and interest in building repeatable playbooks and AI workflows.

  • US-based and able to travel to San Francisco periodically.
